End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("you" or "User") and Trail Optics LLC ("Trail Optics," "we," "us," or "our") governing your use of the software embedded in or provided for use with Trail Optics products — including device firmware, the Trail Optics mobile and web applications, and any related cloud services (collectively, the "Software").

By setting up or using a Trail Optics product, installing the app, creating an account, or otherwise using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software and, if applicable, return your unused product in accordance with our Refund Policy.

1. License Grant

Subject to your compliance with this Agreement, Trail Optics grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely (a) as embedded in or executed on the Trail Optics product you own, and (b) through the official Trail Optics applications and services, in each case for your personal, non-commercial use.

2. Restrictions

You may not, and may not permit others to:

  • copy, modify, adapt, translate, or create derivative works of the Software;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent such a restriction is prohibited by applicable law;
  • rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software to any third party, except as part of a permanent transfer of the Trail Optics product itself;
  • remove, alter, or obscure any proprietary notices on or in the Software;
  • use the Software to violate any applicable law or regulation, including laws governing privacy and video/audio recording; or
  • interfere with or disrupt the integrity or performance of the Software or the servers and networks that provide it.

3. Ownership

The Software is licensed, not sold. Trail Optics and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. Purchasing a Trail Optics product transfers ownership of the hardware to you, but not of the Software.

4. Your Content

Trail Optics products capture photos and video ("User Content"). As between you and Trail Optics, you own your User Content. You grant Trail Optics a limited license to store, process, and transmit your User Content solely as needed to provide the Software's features to you (for example, capturing clips, generating notifications, and syncing media to your devices). Our collection and handling of personal information is described in our Privacy Policy.

You are solely responsible for where you install and point your device and for complying with applicable recording and privacy laws in your location.

5. Updates

The Software may download and install updates, including firmware updates, from time to time. Updates may add, modify, or remove features. You agree that we may deliver updates automatically as part of the Software's normal operation; some updates may be required for continued use of connected features.

6. Connected Services

Certain features depend on our servers, third-party services, or your network connection and may be interrupted, degraded, or discontinued. Trail Optics does not warrant that connected features will be available at all times or from all locations. Features that operate through third-party platforms (such as mobile app stores) are also subject to those platforms' terms.

7. Term and Termination

This Agreement is effective until terminated. It terminates automatically if you fail to comply with any of its terms. Upon termination, you must stop using the Software; Sections 3, 4, and 8–11 survive termination. You may stop using the Software at any time.

8. Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN WARRANTY ACCOMPANYING YOUR PRODUCT, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TRAIL OPTICS PRODUCTS ARE CONSUMER PRODUCTS FOR WILDLIFE OBSERVATION AND ARE NOT A SECURITY OR SAFETY SYSTEM, AND MUST NOT BE RELIED UPON FOR SECURITY, EMERGENCY, OR LIFE-SAFETY PURPOSES.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAIL OPTICS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TRAIL OPTICS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the limitation of certain damages, so some of the above limitations may not apply to you.

10. Export and Government Use

You may not use or export the Software in violation of U.S. export laws and regulations. The Software is "commercial computer software" and, if acquired by or on behalf of a government entity, is provided with only those rights granted to all other users under this Agreement.

11. General

This Agreement is governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right under this Agreement is not a waiver of that right. This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between you and Trail Optics regarding the Software.
